This User Agreement (“Agreement”) is a legally binding contract between you (“User,” “Customer,” or “you”) and Coreserve LLC (“Coreserve,” “we,” “us,” or “our”). By accessing or using our cloud hosting and server services (“Services”), you agree to comply with and be bound by this Agreement.
1. Acceptance of Terms
By signing up for our Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree to these terms, do not use or access our Services.
2. User Responsibilities
You agree to use our Services responsibly and in compliance with all applicable laws and Coreserve policies.
- 2.1. Account Security: You are responsible for maintaining the confidentiality of your account information, including usernames and passwords. Any unauthorized use of your account must be reported to us immediately.
- 2.2. Accurate Information: You agree to provide and maintain accurate, current, and complete information in connection with your account.
- 2.3. Prohibited Activities: You will not use our Services for illegal activities, spamming, spreading malware, or any activity that may harm or disrupt our network or other users. Violation of this rule may lead to immediate termination of your account.
3. Service Availability and Limitations
Coreserve will make commercially reasonable efforts to provide continuous access to our Services. However, we cannot guarantee uninterrupted service and reserve the right to perform maintenance and upgrades.
- 3.1. Downtime: Planned maintenance or emergency repairs may cause temporary unavailability. We will strive to minimize any disruptions and notify you in advance whenever possible.
- 3.2. Data Backups: While we may offer backup solutions, data backup and recovery remain the sole responsibility of the user. Coreserve is not liable for data loss under any circumstances.
4. Billing and Payment
Payments for Services are due as specified in your selected plan. By signing up for our Services, you agree to:
- 4.1. Timely Payment: You are responsible for paying all fees associated with your account in a timely manner. Failure to do so may result in account suspension or termination.
- 4.2. Refunds: Refunds are provided as outlined in our Refund Policy. Please review our Refund Policy for full details on eligibility and conditions.
5. Termination and Suspension
Coreserve reserves the right to terminate or suspend your account at its discretion, including but not limited to:
- 5.1. Violation of Agreement: If you breach any part of this Agreement, we may terminate or suspend your account without prior notice.
- 5.2. Inactivity: Accounts that remain inactive for an extended period may be deactivated, with any remaining data removed in compliance with our data retention policies.
6. Intellectual Property
All materials and technology used in connection with our Services are the property of Coreserve or its licensors. You may not copy, distribute, modify, or create derivative works of our materials without written consent.
7. Limitation of Liability
To the fullest extent permitted by law:
- 7.1. No Liability for Damages: Coreserve will not be liable for any indirect, incidental, punitive, or consequential damages resulting from your use or inability to use our Services.
- 7.2. Maximum Liability: Our liability for direct damages arising from this Agreement or our Services will not exceed the total amount paid by you to Coreserve in the 12 months preceding the claim.
8. Indemnification
You agree to indemnify, defend, and hold harmless Coreserve, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, or expenses (including reasonable attorney’s fees) arising out of your use of our Services or violation of this Agreement.
9. Changes to the Agreement
Coreserve reserves the right to modify or update this Agreement at any time. Changes will be effective upon posting to our website, with the updated “Effective Date” noted. Continued use of our Services after any modifications constitutes your acceptance of the revised Agreement.
10. Governing Law
This Agreement is governed by the laws of the Commonwealth of Kentucky, without regard to its conflict of law principles. Any disputes arising from this Agreement will be resolved in the state or federal courts located in Kentucky.
